Mission-Driven Governance & The OpenAI Foundation
Under the new structure, the newly established OpenAI Foundation acts as a philanthropic powerhouse. It holds a significant equity stake in the commercial arm, currently valued at approximately $130 billion. The commercial entity has transitioned into a Public Benefit Corporation (PBC) known as OpenAI Group PBC, legally mandating that its growth directly funds global initiatives in health and AI resilience.
Redefining the Microsoft Partnership
The partnership with Microsoft has evolved to reflect a 27% stake in the OpenAI Group PBC, valued at $135 billion. Key updates to the agreement include:
- AGI Verification: Any declaration of Artificial General Intelligence (AGI) must now be verified by an independent expert panel.
- Infrastructure Flexibility: While committing to $250 billion in Azure services, OpenAI is no longer bound by Microsoft’s right of first refusal for compute.
- IP Extensions: Microsoft’s IP rights extend through 2032, covering post-AGI models with strict safety guardrails, but excluding future OpenAI consumer hardware.
Operational Independence
Microsoft now holds the right to independently pursue AGI research. Conversely, OpenAI has gained the liberty to serve US national security customers on any cloud provider and release open-weight models that meet specific safety criteria.
